The FSA are introducing revised proceedures for reporting changes to Close links.
The new rules will have a 6 month transitional period with full implementation by 1 June 2010.
Close links are defined as two (or more) natural or legal persons linked by:
- participation, meaning ownership, direct or by way of control, of 20% or more of the voting rights or capital of an undertaking; or
- control, meaning the relationship between a parent undertaking and a subsidiary.
Firms must complete the Close Links Notification Form within one month of becoming aware of (or the termination of) a Close link existing.
